By visiting FundMelo.com, completing or beginning a form, uploading documents, communicating with FundMelo, clicking an acceptance box, or otherwise using the website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you use the website on behalf of a business or other legal entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and the entity.

You may use FundMelo only if you are at least 18 years old, have legal capacity to enter into a binding agreement, and are authorized to act for the business identified in any submission.

The website and services are intended for businesses operating in the United States. Product availability, provider participation, eligibility, and legal requirements vary by jurisdiction.

FundMelo operates as a commercial financing broker, referral source, independent sales organization, marketplace, or service provider, depending on the particular transaction and relationship. FundMelo may introduce applicants to independent commercial financing providers and assist with application intake, document collection, communication, and transaction support.

Unless a separate written agreement expressly states otherwise, FundMelo is not the financing provider, purchaser of receivables, bank, lender, fiduciary, financial advisor, legal advisor, tax advisor, or agent of an applicant.

FundMelo may receive compensation from a participating provider or another commercial party in connection with an introduction, referral, completed transaction, renewal, or related service. Any compensation arrangement does not create a fiduciary duty to you.

Submitting information to FundMelo does not guarantee approval, an offer, funding, a particular product, a specific amount, pricing, factor rate, interest rate, payment amount, remittance amount, term, timing, provider, or result.

Website content, calculators, examples, ranges, estimates, preliminary discussions, and marketing materials are provided for general informational purposes only. They are not binding offers or commitments. Only a final written agreement issued or approved by the applicable provider may create binding transaction terms.

FundMelo has no obligation to locate a provider, obtain an offer, present every potentially available option, or complete a transaction.

You represent and warrant that every funding request submitted through FundMelo is solely for a lawful business or commercial purpose and not for personal, family, household, or other consumer use.

You may not use FundMelo to seek financing for an unlawful activity, a prohibited industry, personal expenses, speculative misconduct, fraud, money laundering, sanctions evasion, or any purpose prohibited by a provider or applicable law.

You agree to provide information that is complete, current, accurate, and not misleading. This includes business information, ownership information, contact details, financial information, bank statements, tax documents, identification, existing obligations, and any other material requested during review.

You represent that you have the lawful right and authority to provide all submitted information and documents, including information relating to owners, guarantors, employees, bank accounts, and the business.

You must promptly correct information that becomes inaccurate or incomplete. FundMelo and participating providers may rely on the information you submit and may suspend or terminate review if information cannot be verified or appears inconsistent, altered, fraudulent, or misleading.

FundMelo and participating providers may verify submitted information using lawful data sources, public records, business databases, bank-account connectivity tools, identity services, fraud-prevention services, references, and other verification methods.

Where legally required, FundMelo or a provider will request separate authorization before obtaining a consumer report, business credit report, bank-account data, tax information, electronic signature, or other protected information. These Terms alone do not constitute authorization for a hard personal credit inquiry.

Any authorization presented during the application or provider process is separate from and supplements these Terms.

Any commercial financing transaction is governed by the final agreement, disclosures, authorizations, and related documents issued by the applicable provider. Those documents are separate from these website Terms and control the transaction if there is any conflict concerning the financing.

You are responsible for reviewing all proposed terms, including the total amount provided, disbursement amount, purchased amount, total repayment or remittance amount, payment frequency, reconciliation rights, estimated term, collateral, security interests, personal guarantees, fees, prepayment provisions, defaults, remedies, and any other material term.

Where applicable, standardized commercial financing disclosures may be provided by the responsible provider or broker in accordance with governing law. You should retain all disclosures and transaction documents for your records.

By using the website or communicating electronically, you consent to receive records and communications from FundMelo electronically, including by email, website display, secure portal, or other electronic means. Electronic communications satisfy any requirement that a communication be in writing to the extent permitted by law.

You are responsible for maintaining a valid email address, compatible device, internet access, and the ability to view and retain electronic records. Where legally required, additional electronic-consent disclosures may be presented separately.

Telephone calls, text messages, marketing communications, automated technologies, and consent requirements are governed by the specific disclosures and choices presented when you provide your contact information. Consent to marketing is not a condition of obtaining commercial financing unless expressly and lawfully stated.

Our collection, use, disclosure, retention, and protection of personal and business information are described in the FundMelo Privacy Policy, which is incorporated into these Terms by reference.

To evaluate or facilitate a request, FundMelo may share submitted information with participating providers, referral partners, processors, verification vendors, service providers, professional advisors, regulators, and other parties described in the Privacy Policy or authorized by you.

No internet transmission or storage system can be guaranteed to be completely secure. You are responsible for using reasonable safeguards when sending sensitive information and for notifying FundMelo promptly if you suspect unauthorized use of your information or communications.

You may use the website only for lawful purposes and in accordance with these Terms. You may not:

• Submit false, altered, stolen, incomplete, or misleading information or documents.
• Impersonate another person or entity or misrepresent your authority, identity, ownership, or business activity.
• Use automated tools to scrape, copy, probe, overload, interfere with, or gain unauthorized access to the website or connected systems.
• Upload malware, malicious code, or material that infringes another party’s rights.

FundMelo grants you a limited, revocable, nonexclusive, nontransferable license to access and use the website for its intended business purpose. No ownership rights are transferred to you.

You may not reproduce, distribute, modify, publish, sell, license, create derivative works from, or commercially exploit FundMelo content without prior written permission, except for retaining copies of your own records and transaction documents.

The website may contain links to or integrations with independent providers, banks, data services, document platforms, identity services, payment services, credit bureaus, bank-connectivity services, and other third parties.

FundMelo does not control and is not responsible for third-party websites, systems, availability, security, privacy practices, content, products, decisions, acts, or omissions. Your use of a third-party service may be governed by separate terms and privacy policies.

A link, integration, introduction, or provider listing does not constitute a guarantee, endorsement, warranty, or representation concerning that third party.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, CONTENT, FORMS, COMMUNICATIONS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

FundMelo DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND RESULTS. FundMelo DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

Information on the website may be updated, corrected, suspended, or removed without notice. Industry descriptions, product summaries, examples, timelines, and educational materials are general and may not reflect the terms available to a particular business.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FundMelo AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR COSTS OF SUBSTITUTE FINANCING, ARISING FROM OR RELATING TO THE WEBSITE, SERVICES, A PROVIDER DECISION, OR A COMMERCIAL TRANSACTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FundMelo’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE WEBSITE OR SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS OR THE AMOUNT YOU PAID DIRECTLY TO FundMelo FOR THE WEBSITE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not exclude liability that cannot lawfully be excluded or limited. Some jurisdictions may not allow certain exclusions or limitations, in which case the applicable limitation will apply only to the maximum extent permitted.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless FundMelo and its owners, officers, employees, contractors, affiliates, agents, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from or relating to:

• Your use or misuse of the website or services.
• Your violation of these Terms or applicable law.
• Information or documents you submit.
• Your fraud, negligence, misconduct, or infringement of another party’s rights.
• Your business activities or any transaction entered into with a provider.

This obligation does not require you to indemnify a party for liability caused solely by that party’s own unlawful conduct to the extent indemnification is prohibited by law.

FundMelo may restrict, suspend, refuse, or terminate access to the website or services at any time if we believe you violated these Terms, submitted inaccurate or suspicious information, created security or legal risk, misused the website, or if continued service is not commercially or legally appropriate.

FundMelo may also modify, discontinue, or suspend any website feature, product category, provider relationship, or service without liability, subject to obligations under any separate written agreement.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and general provisions.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where federal law or another law must apply.

Before filing a legal claim relating to these Terms or the website, you and FundMelo agree to make a good-faith effort to resolve the dispute informally by providing written notice describing the issue and requested resolution.

Unless applicable law requires otherwise, any judicial proceeding arising from or relating to these Terms or the website must be brought exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction and venue of those courts.

This section governs disputes concerning the website and these Terms. A separate provider agreement may contain different governing-law, venue, jury-waiver, or dispute-resolution provisions for a financing transaction.

Changes. FundMelo may revise these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date. Your continued use after updated Terms become effective constitutes acceptance of the revised Terms.

Severability. If a provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

No waiver. A failure to enforce a provision is not a waiver of that provision or any other right.

Assignment. You may not assign these Terms without FundMelo’s written consent. FundMelo may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or other business transfer.

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement concerning your use of the website and services, except for separate consents, disclosures, provider agreements, ISO agreements, referral agreements, or other written contracts that apply to a particular relationship or transaction.

Headings. Headings are for convenience only and do not limit the meaning of any provision.
